Overlord Appoints New Director

CALGARY, August 4, 2005 - Overlord Financial Inc. (TSX Venture: OFI) (the "Corporation") is pleased to announce the appointment of Mr. Claude Blanchet to the Board of Directors effective August 2, 2005.

Mr. Blanchet was Chairman of the Board and Chief Executive Officer of the Société générale de financement du Québec. He also was founder, President and Chief Executive Officer of the Fonds de solidarité des travailleurs du Québec (FTQ). Mr. Blanchet has an M.B.A. and is well known in Québec, Canada and the European business community. He has been a member of many public and private boards of directors including Saputo, Cascade, Domtar and others.

Concurrently, the Corporation has accepted the resignation of Mr. Marc-Andre Elie from its Board and expresses its appreciation and thanks for his past contributions.
