Overlord Announces Affiliation with International Agent

CALGARY, Feb 17, 2005 - Overlord Financial Inc. (TSX Venture: OFI) is pleased to announce that it has engaged the services of an agent (MBA Ltd.) to facilitate the development, introduction, and sale of its suite of proprietary financial products to European and other investors, outside of Canada.

MBA Ltd., a private entity has offices and employees in Montréal and Paris, and affiliate offices with numerous colleagues in Geneva, London, and Rome. Registered in Luxemburg, MBA Ltd,'s expertise is in providing coordinated, country-specific, and regional advice and services from professionals in the Marketing, Accounting, Taxation, Translation, TradeMark, Legal, Investment Banking, and Commercial Banking sectors.

A key Principal and Founder of MBA Ltd., Mr. Pierre Moussa, is a prominent personality in the international banking industry. After years of senior service in the French Department of Public Administration (Overseas Economic Affairs) he took and appointment as the first Director of the African Department at the World Bank in Washington.

Following an assignment as President of the Fédération Française des Sociétés d'Assurances, Mr. Moussa then led the Banque de Paris et des Pays-Bas (PARIBAS) as its COO for 15 years and as President and CEO for 10 of those years. Mr. Moussa currently resides in both London and Paris and oversees the Forum pour L'Afrique. Over his distinguished career in International Banking, Mr. Moussa has authored a number of well-circulated books and has enjoyed recognition as a generous philanthropist.

The agency agreement will be reviewed annually and may be expended geographically to cover many regions of the world, with performance and mutual agreement. Mr. Moussa (Chairman of MBA Ltd.) and Mr. Tremblay (Chairman of Overlord) are in accord that "this dedication of resources, experience, and creativity should present appealing investment opportunities to established and interested markets".
